Michigan Association of School Nurses
Bylaws (Revised 2007)

Article I Name

The Michigan Association of School Nurses: here in after known as the Association.

Article II Mission

The mission of the Association is to be proactive in issues which impact the health of children, promote optimal learning in the educational setting and advance the practice of professional school nurses.

Article III Membership
Section 1: Active Members

A. Qualifications: To qualify, one must meet at least one of the following:
(1) any registered nurse with a baccalaureate degree in nursing or health related field holding state certification and is employed by a board of education or other educational institution.
(2) any registered nurse with a baccalaureate degree in nursing or health related field whose practice is in the provision of school health services,
(3) any registered nurse with a baccalaureate degree in nursing or health related field holding current NBCSN certification field whose practice is in the provision of school health services.
(4) any registered nurse employed by a board of education or other educational institution who is in the process of obtaining state certification as a professional school nurse,
(5) If a nurse is laid off (s) he may choose to continue as a member for a period of 2 years as long as (s)he does not take a full-time job in another capacity.

B. Rights: An active member shall have full voting privileges and powers, shall be eligible to hold office and shall receive all regular and special publications and mailings.

Section 2: Associate Members
A. Qualifications: Associate membership shall include any registered nurse (R.N.) who is not eligible for Active membership, but who services a school as a school nurse and pays membership dues.
B. Rights: Associate members shall be eligible for all benefits of the Association with the exception of voting and privileges of election positions. An associate member may serve as a committee member, but not as a committee chairperson.

Section 3: Retired members
A. Qualifications: Any Active school nurse who is a member of the Association, upon retirement, shall be eligible to become a retired member, upon notification to the Association and payment of appropriate dues.
B. Rights: A member who is retired shall have full rights and privileges of the Active membership classification.

Section 4: Student Members
A. Qualifications: Students of a school of professional nursing not employed as a school nurse on a full or part time basis. Student membership shall not be granted to a person who has previously attained or been eligible for Active status. Student membership status shall not be renewed more than once for a graduate nurse.
B. Rights: A Student member shall have all privileges of membership except to vote or hold office. A Student member may serve as a committee member, but not as a committee chairperson.

Section 5. Corporate/Business/Professional Organization Members
A. Qualifications: Those organizations or persons who desire to support the goals of the Association and whose members are not eligible for another membership classification. Membership shall in no way bind the Association to support philosophies or policies of any Corporate/Business/Professional Organization members.
B. Rights: A Corporate/Business/Professional Organization member shall have all privileges of membership except to vote or hold office. They may serve as a committee member, but not as a committee chairperson.

Section 6. Member-at-Large
A. Member-at-Large shall include any person not eligible for active or associate membership who is interested in the purposes of this organization and pays membership dues.
B. Rights: A Member-at-Large shall be eligible for all benefits of the Association with the exception of voting and privileges of election positions. A member-at large may serve as a committee member, but not as a committee chairperson.

 

Article IV. Membership Fees

Section 1: Membership fees for all classifications of membership shall be established by the Board of Directors.

Section 2: The Association shall have a unified dues structure with the National Association of School Nurses.

Section 3: Payment of dues to NASN authorizes membership for one full year from the date of payment. Membership growth is calculated based on the fiscal year.

 

Article V Fiscal Year

The fiscal year of the Association shall be from September 1 through August 31.

 

Article VI Officers

Section 1: Composition
The officers of the Association shall be the President, Vice President, Immediate Past President, President Elect, Secretary, Treasurer and NASN Delegate.

Section 2: Eligibility
Only active members of the Association shall be entitled to hold office.

Section 3: Term of Office
A. The President shall serve one (1) term of two (2) years progressing to the office of Immediate Past President, a term of (1) additional year.
B. The President Elect shall serve one (1) term of (1) year, progressing to the office of President. The President Elect shall be elected in the odd year.
C. The Vice President shall be elected in the even year to serve a two (2) year term concurrently with the term of the President.
D. The Secretary will be elected in the odd year to serve a term of two (2) years.
E. The Treasurer will be elected in the even year to serve a term of two (2) years.
F. The Representative to the National Association of School Nurses will be elected in the even years to serve a four (4) year term with the following exceptions:
(1) An individual who has been elected or appointed to serve an unexpired term shall be eligible to serve an additional four year term; and
(2) The currently serving Representative may serve one additional year if there is a lack of qualified candidates.
G. No officer shall serve more than four (4) successive years, except for the Representative to the National Association of School Nurses who may be re-elected to serve on the board of directors after being off the board for at least
four years.
H. Officers will assume duties on July 1 following the election.

Section 4: Vacancy
A vacancy in office shall be filled by ballot vote of the Board of Directors, except in the case of a vacancy in the office of President Elect when the successor shall be elected by mail ballot vote of the membership at the next regularly scheduled
election.

Article VII Duties of Officers

Section 1: The President shall:
A. Preside at all meeting of the Board of Directors, the Executive Board, the annual meeting and at all membership meetings.
B. Appoint all committee chairpersons, except Chairperson of the Annual Conference, subject to the approval of the Board of Directors.
C. Be an ex-officio member of all committees except the Nominating Committee.
D. Establish the dates, times and agenda for Board of Directors meetings.
E. Maintain a record of presidential communications and activities.
F. Perform such other duties as may be required or assigned by the Board of Directors.
G. Designate a temporary alternate Representative to NASN if necessary.

Section 2: The Immediate Past President shall:
A. Advise the President.
B. Advise the Board of Directors.
C. Serve as the Nomination Chair and/or choose a Nomination Committee Chair.
D. Appoint the Nomination Chair for the year following the term of office of the Immediate Past President.
E. Serve on various committees as requested by the President.
F. In the absence or disability of the President, perform the duties of the President.
G. Perform other duties as may be required by the President and/or the Board of Directors.

Section 3: The President Elect shall:
A. In the absence or disability of the President, perform the duties of the President.
B. Succeed the President for the unexpired term, and upon the adjournment of the unexpired term, serve the termof the President as elected.
C. Serve on various committees especially those that pertain to legislative matters.
D. Perform such other duties as may be required by the President and/or the Board of Directors.

Section 4: The Vice President shall:
A. Be responsible for the annual conference or choose to appoint the Chairperson of the Annual Conference, subject to the approval of the Board of Directors.
B. Perform other duties as may be required by the President and/or the Board of Directors.

Section 5: The Secretary shall:
A. Act as the recording secretary for all meetings of the Association.
B. Notify board members of the Board of Directors meetings.
C. Notify the membership of general Association meetings.
D. Duplicate and mail minutes of Board of Directors meetings to all board members.
E. Maintain a record of all official business actions, such as minutes, policies, resolutions, amendments to the Bylaws and copies of official correspondence.
F. Perform such other duties as may be required by the President and/or the Board of Directors.

Section 6: The Treasurer shall:
A. Receive all monies due the Association.
B. Receive all membership fees.
C. Give receipts for all monies received.
D. Maintain accurate financial records.
E. Submit a proposed budget to the Board of Directors for adoption.
F. Secure an annual review, by an outside agency, of the treasurer's books and submit a financial statement at the annual business meeting.
G. Perform such other duties as may be required by the President and/or the Board of Directors.

Section 7: The Representative to the National Association of School Nurses shall:
A. Attend the NASN Board of Directors meetings and the annual meeting of NASN at the expense of MASN.
B. Attend the Association's Board of Directors meetings and submit a written report of NASN activities to this body.
C. Act as official spokesperson for the Association at meetings of the NASN Board of Directors and submit a written report of the Association's activities, needs and problems to NASN annually.
D. Be an active member of MASN and NASN.
E. Assume duties following the first annual NASN meeting of the year elected, until the completion of the term.
F. If unable to perform duties temporarily, notify President so that an alternate may be assigned to represent MASN at the national level.

 

Article VIII Meetings

Section 1: Annual Meeting
A business meeting shall be held annually, as scheduled by the Board of Directors. Announcement of the annual business meeting shall be made to all members at least thirty (30) days prior to the meeting.

Section 2: Quorum
A. At meetings of the Association, a quorum shall consist of three (3) officers and a majority of the eligible voting members present.
B. At meetings of the Board of Directors, a quorum shall consist of three (3) officers and a majority of the members of the Board.
C. At meetings of the Executive Board, a quorum shall consist of five (5) members.

Section 3: Special Meetings
A. A special meeting may be called by the President upon written notice to all active and associate members at least one (1) week prior to the meeting.
B. Upon receipt of written request of not less than ten (10) active members of the Association or three (3) members of the Board, the President shall, within five (5) days, schedule a special meeting. Such a meeting shall be held within thirty (30) days of the date of the request. All members will be given one (1) week prior notice of such meeting.

Section 4: Board of Directors Meetings
A. The Board of Directors shall meet at least three times a year. Written notice will be mailed by the Secretary to all Board members at least one (1) week in advance.
B. Additional Board of Director’s meetings may be called by the President or upon written request to the Secretary by three (3) members of the Board of Directors at least ten (10) days in advance.

Section 5: Executive Board Meetings
Shall be called by the President to conduct necessary business needing action between Board of Director meetings.

Section 6: Electronic Meetings.
Board of Directors, Executive Committee, standing and special committees are authorized to meet by telephone conference or through other electronic communication media so long as a quorum is present and all members simultaneously hear each other and participate during the meeting.

Section 7: Email Voting.
Board of Directors, Executive Committee, standing and special committees are authorized to use email voting so long as a quorum is present, the vote is unanimous and is ratified at the next meeting of the Board or committee.

 

Article IX Board of Directors

Section 1: The Board of Directors shall be the administrative body of the Association. The members of the Board of Directors shall be the officers and appointed chairpersons of all committees. The Secretary of the Association shall act as Secretary of the Board of Directors. All members of the Board of Directors shall be active members of the Association.

Section 2: The President shall preside at all meetings of the Board of Directors of the Association.

Section 3: The Secretary of the Association shall act as Secretary of the Board of Directors.

Section 4: Authority
A. The Board of Directors shall conduct the affairs of the Association in accordance with the Bylaws and directions adopted at the annual business meeting.
B. The Board of Directors shall have the full power to put into effect the policies and decisions of the Association.

Section 5: The duties shall be to:
A. Establish the date and place for each annual business meeting.
B. Establish such additional meetings of the Association as it deems necessary.
C Establish fees for all classifications of memberships.
D. Adopt an annual budget and report to the annual meeting the fiscal results for the current year to date.
E. Exercise general supervision of the receipts and expenditures of the Association, manage the affairs, funds and property of the Association and do all things necessary and advisable.
F. Approve all appointments made by the President.
G. Fill vacancies of Vice President, Secretary, Treasurer and National Association of School Nurses Representative to the NASN Board of Directors.
H. Elect two (2) members of the Board of Directors annually to serve on the Executive Board.
I. Approve the ballot presented by the Nominating Committee.
J. Establish an organizational structure for the Association and review such structure annually.
K. Review policies, procedures and resolutions of the Association prior to presentation at the annual business meeting.
L. Review all proposed amendments to the Bylaws.
M. Maintain a set of operating guidelines for conduct of the Board of Directors activities.
N. Approve any Association publication other than the official newsletter.

Section 6: Meetings
The Board of Directors shall meet at least three (3) times per year.

Section 7: Dissolution
In case of dissolution of MASN the Board of Directors shall authorize the payment of all debts and distribution of subsequent assets to NASN. A statement of intent to dissolve the organization will be followed by a letter to all active
members.

Article X Executive Board

Section 1: The Executive Board shall be composed of the elected officers, the immediate Past President and two (2) Board of Directors members elected from the Board.

Section 2: Shall conduct necessary business between Board of Directors meetings.

Article XI Committees

Section 1: Standing Committees and Special Committees
The Standing Committees Special Committees shall be designated and determined by the President with the approval of the Board of Directors.

Section 2: Chairpersons
The chairpersons of all committees shall be appointed at least every two (2) years by the President, with the approval of the Board of Directors. A committee chairperson must be an active
member of the Association.

Article XII Newsletter

The newsletter of the Association shall be the official publication of the Association and sent to each member at least four (4) times per year.

 

Article XIII Elections
Section 1: Elections
Election of officers shall be by mail ballot. Biographical data of the candidates shall be included with all ballots. Ballots shall be mailed to all eligible members and returned in accord with procedures outlined in the operating guidelines. Plurality vote of those voting in any election shall constitute an election. Changes in the operating guidelines must be approved by the Board of Directors.

Section 2: Only Active members of the Association shall be eligible to be elected to office.

Section 3: Nominations
A. The Nomination Chairperson shall be appointed by the Immediate Past President, and the Nominations Committee shall be approved by the Board of Directors by December 1 of each year.
B. The Nominations Committee shall seek out qualified candidates as outlined in the operating guidelines.
C. It is the responsibility of the Nomination Chairperson to submit candidates for each elected position, except the President, whose term is stated in these Bylaws.
D. The ballot shall be approved by the Board of Directors.

 

Article XIV Amendments

Section 1: These Bylaws may be amended at any annual business meeting by majority vote of the active members present. The proposed changes must be submitted in writing to the Secretary, with a copy for the Board of Directors, at least forty-five (45) days prior to the annual business meeting. The Secretary shall be responsible for its transmission to all members
of the Association at least fifteen (15) days prior to the date of the annual business meeting.

Section 2: Amendments may also be introduced from the floor, voted upon and ratified by a two-third (2/3) vote of the active members present.

Article XV Parliamentary Authority

Robert’s Rules of Order, Revised shall apply on all questions of procedure and parliamentary law not specified by these Bylaws.
